Terms of service
1. Agreement
These Terms of Service (“Terms”) are an agreement between you, or the organization you represent (“Customer”, “you”), and Consellations, Inc. (“Consellations”, “we”). They govern your use of our website, web application, desktop app and related services (the “Service”). By creating an account or using the Service you agree to these Terms. If you're accepting on behalf of an organization, you confirm you have authority to bind it.
2. Accounts
You must give accurate information and keep your login credentials secure. You're responsible for activity under your account and for the users you invite to your workspace. Tell us promptly at security@consellations.com if you suspect unauthorized access.
3. Plans
- Free: one person and one agent, up to 2,000 records and 500 MB of files, at no charge for as long as you want. There is no separate trial: Free is the trial.
- Pro: US$24.99 per month or US$239 per year, for you and one partner and up to four agents.
- Downgrading: moving from Pro to Free never deletes data. Your partner's login is suspended and agents beyond one are disconnected; your records stay.
4. Payment
Paid plans are billed monthly or yearly in advance and renew automatically until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Fees are non-refundable except where the law requires otherwise. Prices exclude taxes, which you're responsible for. We may change prices with at least 30 days' notice, effective at your next renewal.
5. Your content
You own everything you put into the Service: notes, records, files, recordings and transcripts (“Customer Content”). You grant us a limited license to host, process and display Customer Content only as needed to provide and secure the Service, and as described in our Privacy policy and Data Processing Addendum. We don't sell Customer Content or use it to train AI models.
6. Recordings and consent
Recording laws differ by place, and some require every participant's consent. You're solely responsible for giving any notices and getting any consents needed before you record or transcribe a conversation with the Service.
7. AI features
AI features produce suggestions that may be inaccurate or incomplete. Review AI output before relying on it. The Service records every change to your records, with its source, and lets you undo it. You're responsible for decisions made using AI output.
8. Acceptable use
You agree to follow our Acceptable use policy. We may suspend access that threatens the security or integrity of the Service or violates these Terms, and we'll give notice where reasonable.
9. Our property
The Service, including its software, design and branding, belongs to us and our licensors. Feedback you give us may be used without obligation to you.
10. Third-party services
The Service connects to third-party services, such as calendars and meeting platforms, at your direction. Their terms govern your use of them, and we're not responsible for them.
11. Confidentiality and security
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. We maintain the safeguards described on our Security page.
12. Termination
You may stop using the Service at any time. We may terminate for material breach that isn't cured within 30 days of notice. On termination you can export Customer Content for 30 days, after which we delete it as described in our Privacy policy.
13. Warranties and disclaimers
We'll provide the Service with reasonable skill and care. Except as stated, the Service is provided “as is”, and to the extent the law allows we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
14. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party's total liability is limited to the amounts you paid us in the 12 months before the claim. These limits don't apply to your payment obligations or to either party's indemnity obligations.
15. Indemnity
You'll defend us against third-party claims arising from your Customer Content or your breach of the Acceptable use policy. We'll defend you against third-party claims that the Service infringes their intellectual property.
16. General
These Terms are governed by the laws of [State], excluding its conflict-of-law rules, and disputes will be resolved in the courts of [County, State]. We may update these Terms with notice. Continued use after changes take effect means you accept them. If any provision is unenforceable, the rest stays in effect. These Terms, with any order form and the policies linked here, are the entire agreement between us.
